Terms of use

Article 1 (Purpose)

These Terms are intended to prescribe the conditions of use, procedures, and other necessary matters for the "Sendtime" and "Umoh" services (collectively, the "Service") provided by Splab Co., Ltd. ("SPLAB Team").

Article 2 (Definitions)

  1. The terms used in these Terms shall have the following meanings:
  • a) Service: All "Sendtime" and "Umoh" services provided by the SPLAB Team that users can access through any implementable device, including PC, smartphone, and tablet.
  • b) User: Any customer who signs up for and uses the Service.
  • c) Phone number: A combination of numbers designated by the user and approved by the SPLAB Team for user identification and service use.
  • d) Password: A combination of letters and numbers set by the user for confidentiality and to verify that the user corresponds to the registered email address.

Article 3 (Notice and Effect of the Terms)

  1. The SPLAB Team will notify users of these Terms through the service web/app screens or homepage so users can review the contents.

  2. The SPLAB Team shall take measures to allow users to ask questions and receive responses regarding these Terms.

  3. The SPLAB Team may amend these Terms within the scope not violating applicable laws, including the Act on Promotion of Information and Communications Network Utilization and Information Protection.

  4. Agreeing to these Terms means agreeing to periodically visit the Service and check changes to these Terms. The SPLAB Team is not responsible for user damages caused by failure to review amended terms.

  5. When amending these Terms, the SPLAB Team will announce the existing and amended terms, effective date, and reason for amendment at least seven (7) days before the effective date. If the amendment is material to users, notice will be provided from at least thirty (30) days before the effective date.

  6. If a user does not agree to the amended terms, the user may terminate the service use agreement.

Article 4 (Formation of Service Use Agreement)

A service use agreement is formed when a user agrees to these Terms, enters required information in the application, applies to use the Service, and the SPLAB Team accepts that application.

Article 5 (Information Required for Service Application)

  1. To use the Service, users must enter information requested by the SPLAB Team (phone number and password).

  2. After logging in, users must consent to SPLAB data collection.

  3. Accounts created by unauthorized use of another person's phone number may be deleted, and legal measures may be taken under applicable laws.

  4. For convenience and privacy protection, the SPLAB Team may use phone number/password verification instead of resident registration number or public certificates. In this process, if the phone number has already been registered by an existing user, duplicate applications may be recognized.

Article 6 (Acceptance of Application)

  1. If a user enters the information under Article 5 (1) and agrees to these Terms and the separate Privacy Policy, the SPLAB Team accepts the use of the Service in principle.

  2. The SPLAB Team may reject acceptance in the following cases:

  • a) If Article 5 (3) applies.
  • b) If there is intentional or accidental falsehood, omission, or error in the information required under Article 5 (1) and (2).
  • c) If the user does not agree to these Terms and Privacy Policy.
  • d) If action is otherwise required under applicable laws.
  1. If use is restricted under paragraph 2, the SPLAB Team shall provide the user an opportunity to correct or explain.

Article 7 (Privacy Policy)

  1. The SPLAB Team will endeavor to protect users' personal information as required by applicable laws.

  2. User personal information shall be handled in accordance with applicable laws and the SPLAB Team Privacy Policy. However, except for willful misconduct or gross negligence by the SPLAB Team, the SPLAB Team is not liable for information exposure caused by reasons attributable to the user.

  3. If users post or distribute unlawful content (including content harmful to public morals or national security), the SPLAB Team may inspect and submit relevant data to competent authorities upon request.

Article 8 (Service Fees and Payment)

  1. Users shall pay monthly fees in accordance with the pricing policy of paid services they use.

  2. Detailed pricing policy and payment methods for paid services are announced on the website.

  3. Users may request refunds from the SPLAB Team. Refunds are processed according to SPLAB Team policies and procedures.

  4. Refund standards include the following:

a) For recurring monthly payments: prorated based on used days, using a 30-day month. Full refund is available within 24 hours from payment; from after 24 hours to day 15, prorated refund applies for remaining days; from day 16 to day 30, no refund is available. Proration excludes 20% of total payment (including card fees and penalties) and then applies remaining-day proration.

  • Formula: [(Total payment x 0.8 / 30)] x Remaining days

b) For annual payment users: annual standard is 12 months, and the remaining amount is refunded by dividing total annual fees by 12 and excluding any month in which at least one day was used.

  1. Even for annual payment users, refund amount under this Article is calculated based on recurring payment standards; depending on the timing, refundable amount may be zero.

  2. During an annual billing cycle, switching to monthly billing or downgrading plans is not available. If headcount decreases, corresponding fees are not refunded.

  3. If user count increases beyond the baseline under annual payment, additional fees per user are charged.

a) Additional user fee formula:

  • Formula: Additional number of users x (monthly plan monthly fee) x Remaining period
  1. For annual contracts, cancellation during the contract period incurs a penalty. Penalty = "discounted amount compared to monthly plan + 10% of amount payable for remaining period" (tax not applied to penalty).

a) "Discounted amount compared to monthly plan" is calculated based on the monthly billed amount agreed in the annual contract. "10% of amount payable for remaining period" is calculated based on maximum headcount during the 30 days prior to cancellation request.

b) Penalty formulas:

  • (1) Discount amount vs. monthly plan = { Months used x (monthly plan monthly fee - annual plan monthly fee)}
  • (2) 10% of amount payable for remaining period = { Monthly contract amount x (Total contract months - Used months) + additional-user fee} x 10%
  • (3) Penalty = (1) + (2)
  1. For the "Enterprise" plan, pricing is determined by quotation and formal contract documents, not fixed plan rates.

  2. Users are obligated to pay outstanding balances. If unpaid balances continue for more than 30 days, service may be restricted. Outstanding balances cannot be waived or canceled, and tax obligations related to service fees remain with users.

Article 9 (Obligations of the SPLAB Team)

  1. The SPLAB Team shall not engage in acts prohibited by laws or contrary to public morals and shall make best efforts to provide the Service continuously and stably in accordance with these Terms.

  2. The SPLAB Team will not send users unsolicited commercial advertising emails.

  3. The SPLAB Team shall receive user complaints through email or other channels and, where complaints are objectively valid, process them promptly. If immediate processing is difficult, the SPLAB Team shall notify users of the reason and schedule.

  4. For safe service use, the SPLAB Team shall not disclose or distribute users' personal information to third parties without user consent, in accordance with its Privacy Policy.

  5. The SPLAB Team shall establish and comply with security systems and privacy policies so users can use the Service safely.

Article 10 (Obligations of Users)

  1. Users shall comply with these Terms, SPLAB Team policies, and notices. Unless expressly agreed by the SPLAB Team, service usage rights are limited to each user and may not be transferred, donated, or pledged.

  2. Users shall not engage in the following acts while using the Service:

  • a) Entering false information in applications or profile changes, or using another person's personal information or ID
  • b) Infringing rights, copyrights, or intellectual property of third parties
  • c) Commercial sales activities using the Service
  • d) Hacking, advertising spam, pornography site promotion, or illegal software distribution
  • e) Impersonating SPLAB Team operators, employees, or affiliates
  • f) Damaging reputation of SPLAB Team or third parties
  • g) Interfering with official service operations of SPLAB Team or third parties
  • h) Acts objectively judged to be related to criminal conduct
  • i) Violating these Terms or other SPLAB Team policies or conditions
  • j) Other acts violating applicable laws
  1. Commercial use of SPLAB data is strictly prohibited. Violations may result in legal action under applicable laws.

  2. If a user uses the Service as a host, the user agrees to use of logos during service provision period to support SPLAB Team service operations.

Article 11 (Service Hours)

  1. Service is generally available 24 hours a day, 365 days a year. However, service may be temporarily suspended for periods determined by the SPLAB Team due to system checks, expansion, replacement, failures, or similar reasons.

  2. The SPLAB Team may suspend service temporarily or permanently without prior notice in the following cases:

  • a) Urgent system checks, expansion, replacement, failures, or malfunction
  • b) Force majeure events such as national emergency, blackout, or natural disaster
  • c) Excessive service use causing disruption of normal service use
  1. For suspensions under paragraph 2, SPLAB Team will notify users in advance through notices where possible. Prior notice may be omitted when suspension occurs due to causes beyond SPLAB Team's control.

Article 12 (Change and Management of Personal Information)

  1. Once registered, a phone number cannot be changed for personal reasons except technical issues such as duplicate registration due to system errors. To change a number, users must terminate the existing number and sign up again.

  2. With user consent, the phone number registered in this Service may be linked with users of other SPLAB Team services.

  3. Users are responsible for damages arising from negligent management, unauthorized transfer, or lending of phone number and password.

  4. If users become aware that their phone number/password is stolen or used by a third party, they shall immediately notify SPLAB Team and follow guidance for information and rights protection.

  5. If duplicate phone numbers make service provision difficult, SPLAB Team may request users to register a non-duplicative number within a reasonable period. In addition, due to site integration or major policy changes, SPLAB Team may collectively modify phone numbers without changing their essential characteristics and notify affected users.

Article 13 (Damages and Liability)

  1. To the extent permitted by law, the SPLAB Team makes no specific promises or warranties not expressly stated in these Terms regarding the Service. Except where objective illegality or falsity of posted information is confirmed, and except for willful misconduct or gross negligence by SPLAB Team, SPLAB Team does not guarantee reliability or accuracy of information posted in the Service.

  2. If users suffer damages due to significant fault or negligence of SPLAB Team, SPLAB Team will compensate users in accordance with these Terms and applicable laws. However, SPLAB Team is exempt from liability in the following cases:

  • a) Force majeure such as natural disasters or war
  • b) Interruption/failure of telecommunications services by telecom carriers
  • c) Unavoidable maintenance, replacement, regular checks, or construction
  • d) Service issues or damages attributable to users
  • e) Damages from user computer errors or inaccurate profile input
  • f) Failure to obtain expected benefits from service use
  • g) Damages from materials obtained through service use (except SPLAB Team intent/gross negligence)
  • h) Mental damages caused by other users
  • i) Disputes between users or between users and third parties via the Service
  1. If a user's illegal act or violation of these Terms causes damage to SPLAB Team or results in claims/objections from a third party against SPLAB Team, the user shall compensate SPLAB Team.

Article 14 (Provision of Information and Notices to Users)

  1. The SPLAB Team may provide users, with user consent, various information deemed necessary during service use through email, application screens, and related channels.

  2. For notices to users, SPLAB Team may send email to the address registered by users or use communication means available in the Service. For notices to large or unspecified users, notice posting in service bulletin boards may substitute individual notice.

  3. Users may fail to receive important notices if they register false personal information.

Article 15 (Jurisdiction and Governing Law)

  1. Matters not specified in these Terms shall be governed by the laws of the Republic of Korea.

  2. Any interpretation issues or disputes between SPLAB Team and users concerning matters specified or not specified in these Terms shall first be resolved amicably through consultation. If no agreement is reached, disputes shall be resolved by litigation in a court with jurisdiction under the Korean Civil Procedure Act. Procedural matters shall follow the laws of the Republic of Korea.

Supplementary Provision

  1. These Terms take effect on April 22, 2024.
